Stonecipher is fired not because he had an affair but becasue the board believe he has exercised bad judgment. Bad judgment is untolerated for a person who leads a multi-billion dollar firm which is struggling in a declining market.
The 2nd reason is if Stonecipher is deeply involved into legal affairs his performance of serving as a CEO will surely be affected.
The 3rd reason COULD be this incident may somehow tarnish the image of Boeing among shareholders.
In short, the ONLY reason the decision of firing him is made based on shareholder value, nothing more and nothing less, and that's what the board should do.
